Terms of Service

These terms govern your access to and use of the Audit Agent platform provided by Augential Pty Ltd ("Augential", "we", "us"). By accessing the service you agree to these terms. If you are accepting on behalf of an organisation (your "Licensee") you warrant you have authority to bind that organisation.
1. Service
Audit Agent is a software-as-a-service platform that assists Australian Financial Services Licensees with compliance review of authorised representatives. Features include automated checks, document review workflows, broker portals, and reporting.
2. Accounts and access
Accounts are created by your Licensee or invited by an administrator. You must keep authentication codes confidential. You are responsible for activity on your account. We may suspend access for breach of these terms or to protect the service.
3. Customer data
You retain ownership of all data you or your Licensee submit ("Customer Data"). You grant us a limited licence to process Customer Data only as necessary to provide the service. We process Customer Data in accordance with our Privacy Policy.
4. Acceptable use
You must not:
- Use the service in breach of Australian law;
- Attempt to reverse engineer, probe, or interfere with the service;
- Upload malicious code or content you do not have rights to;
- Use the service to provide a competing product.
5. AI-assisted findings
The service uses AI models to assist with document classification and check adjudication. AI outputs are guidance only and must be reviewed by a qualified human before being relied upon for compliance, regulatory or audit purposes. We do not warrant the accuracy of AI-generated outputs.
6. Fees
Fees are charged per broker per month as agreed with your Licensee. Fees are exclusive of GST. Failure to pay may result in suspension of access.
7. Warranty and liability
To the extent permitted by law, the service is provided "as is" without warranty of any kind. Nothing in these terms excludes or limits any consumer guarantee under the Australian Consumer Law that cannot be excluded. Subject to those rights, our total liability arising in connection with the service is limited to fees paid in the twelve months preceding the claim.
8. Termination
Either party may terminate on notice as set out in your subscription. On termination we will, on request and within a reasonable period, return or delete Customer Data subject to legal retention obligations.
9. Governing law
These terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of its courts.
